Altering clauses in the articles of association


To insert, delete or alter a clause in the articles of association you must deliver to the Registrar of Companies the following documents:

1. A copy of the special resolution (DOC, 42 Kb) .

2. A copy of the articles, as altered.

3. Certain types of resolution may require a fee please refer to Companies House website.

Important Information

There are certain statutory clauses, which must not be removed from the articles of association of a community interest company. These clauses are highlighted in red type in the models provided.

If a community interest company inadvertently delivers a copy of a resolution to the Registrar of Companies removing one of these clauses and it is placed on the public record the Regulator would require the community interest company to remedy the situation and meet the associated costs. See chapter 5 of the guidance.
