Shareholders' Rights Directive


This Directive was adopted by the EU on 11 July 2007. The Directive facilitates the exercise of basic shareholders' rights and solve problems in the cross-border exercise of such rights, particularly voting rights.

Companies (Shareholders’ Rights) Regulations 2009, which implement the Shareholders’ Rights Directive, were made on 3 July and are available on the Regulations page.

The UK public consultation on implementing the Directive was published on 24 October 2008 and closed on 30 January 2009.

The Institute of Chartered Secretaries and Administrators has produced guidance on the implementation of the Shareholder Rights Directive, which can be found on ICSA's website www.icsa.org.uk
